Perfect HR Subscription Agreement

These Terms and Conditions ("Terms") govern the subscription, access, and use of the Perfect HR Software-as-a-Service ("Service"), provided by Daffodil Software Limited ("Company"). By purchasing, subscribing to, or using Perfect HR, you acknowledge that you have read, understood, and agreed to these Terms.

1. Definitions

For purposes of these Terms:

Perfect HR — An AI-driven Human Resource Management Software (HRMS) delivered as Software-as-a-Service (SaaS), providing HR automation, workforce management, analytics, AI assistance, reporting, employee self-service, and related business functions.
Company — Daffodil Software Limited.
Customer — Any company, institution, organization, government agency, NGO, educational institution, healthcare organization, or business entity subscribing to the Service.
Authorized User — An employee, administrator, HR officer, manager, executive, contractor, or other individual authorized by the Customer to access the Service.
Subscription — A paid license granting access to Perfect HR according to the selected subscription plan.
Customer Data — Any employee information, organizational data, payroll data, attendance records, documents, files, reports, or other information uploaded or generated within the Service.
AI Services — AI-powered features including analytics, recommendations, predictions, document generation, chatbot assistance, recruitment support, workforce insights, and decision-support capabilities.

2. Acceptance of Terms

By using Perfect HR, the Customer confirms that:

They have authority to enter into this agreement.
They agree to comply with applicable laws.
They are authorized to upload organizational and employee information.
They accept these Terms and the Company's Privacy Policy.

If you do not agree, you must not use the Service.

3. Scope of Service

Perfect HR provides cloud-based HR solutions including but not limited to:

Employee Management
Recruitment
Attendance Management
Leave Management
Payroll Management
Performance Management
Training Management
Asset Management
Employee Self-Service
Workflow Automation
AI HR Assistant
AI Analytics
HR Dashboards
Organizational Reports
Business Intelligence
Document Management
Notification Services
API Integration
Mobile Access
Role-Based Security

The Company may introduce new modules or discontinue existing features at its discretion.

4. Subscription Plans

Subscription plans may include:

Monthly
Quarterly
Half-Yearly
Annual
Enterprise
Custom Corporate Plan

Each plan includes specific limitations regarding:

Number of Employees
Number of Users
Storage
AI Credits
API Usage
Modules
Support Level

5. Subscription Fees & Payment

Subscription fees are payable in advance.
Prices exclude applicable taxes.
Payment must be completed before service activation.
Late payment may suspend service.
Subscription fees are generally non-refundable unless required by applicable law or otherwise agreed in writing.

6. Customer Responsibilities

The Customer is responsible for:

Maintaining accurate employee data
Managing user permissions
Protecting login credentials
Ensuring compliance with labor laws
Obtaining necessary employee consent
Maintaining internal HR policies
Reviewing AI-generated recommendations

The Company is not responsible for incorrect information entered by the Customer.

7. User Accounts

Customers shall:

Create authorized users only.
Prevent unauthorized access.
Immediately report compromised accounts.
Disable access of former employees.

Shared user accounts are prohibited unless specifically allowed by the subscription plan.

8. Acceptable Use Policy

Users shall not:

Violate laws
Upload malicious software
Reverse engineer the Service
Attempt unauthorized access
Abuse AI capabilities
Generate discriminatory or unlawful HR content
Use the Service for illegal employment practices
Disrupt system availability

Violation may result in immediate suspension.

9. Artificial Intelligence Features

Perfect HR provides AI-assisted capabilities including:

Recruitment recommendations
Employee performance insights
Workforce analytics
HR policy assistance
AI-generated reports
Predictive analytics
Employee engagement analysis
HR chatbot assistance

AI outputs:

are recommendations only,
are not legal advice,
are not employment decisions,
require human review before implementation.

Final HR decisions remain solely with the Customer.

10. Customer Data Ownership

The Customer retains full ownership of:

Employee records
Payroll data
Attendance records
Organizational documents
Uploaded files
Reports
Custom configurations

The Company does not claim ownership of Customer Data.

11. Data Privacy

The Company processes Customer Data only to:

operate the Service,
improve system performance,
provide technical support,
comply with applicable law.

Personal information shall be handled according to the Company's Privacy Policy.

12. Information Security

The Company implements commercially reasonable safeguards including:

Data encryption
Secure authentication
Role-Based Access Control (RBAC)
Backup procedures
Activity logging
Secure cloud infrastructure

However, no information system can guarantee absolute security.

13. Availability

The Company aims to provide high service availability. Planned maintenance, upgrades, or unforeseen incidents may temporarily interrupt service. No guarantee is made for uninterrupted operation.

14. Backup & Disaster Recovery

The Company performs routine backups according to its operational policy. Customers are encouraged to export critical reports regularly. The Company is not responsible for losses caused by customer-side deletion or misuse.

15. Third-Party Services

Perfect HR may integrate with:

Email services
SMS gateways
Payment gateways
Government services
ERP systems
Accounting software
Biometric devices
AI service providers

The Company is not responsible for interruptions caused by third-party providers.

16. Intellectual Property

Perfect HR including:

software,
source code,
interfaces,
AI models,
documentation,
branding,
trademarks,

remain the exclusive intellectual property of Daffodil Software Limited. Customers receive a limited, non-transferable subscription license.

17. Confidentiality

Both parties agree to protect confidential information disclosed during the subscription period. Confidential information shall not be disclosed without written consent unless required by law.

18. Compliance

Customers are responsible for complying with:

Labor laws
Employment regulations
Payroll regulations
Tax laws
Data protection laws
Industry regulations

Perfect HR assists compliance but does not guarantee legal compliance.

19. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability shall not exceed the subscription fees paid during the preceding twelve (12) months.

The Company shall not be liable for:

indirect damages,
business interruption,
lost profits,
loss of goodwill,
employment disputes,
regulatory penalties,
incorrect HR decisions,
AI recommendation outcomes.

20. Indemnification

The Customer agrees to indemnify and hold harmless the Company against claims arising from:

misuse of the Service,
unauthorized data,
unlawful employment practices,
customer negligence,
violation of these Terms.

21. Suspension & Termination

The Company may suspend or terminate services if:

subscription fees remain unpaid,
security risks are detected,
illegal activity occurs,
these Terms are violated,
misuse threatens system integrity.

Upon termination:

access will cease,
customer data retention will follow the Company's data retention policy,
outstanding fees remain payable.

22. Service Modifications

The Company may:

add new features,
modify functionality,
improve AI models,
discontinue obsolete features,

provided such changes do not materially reduce the core subscribed Service without reasonable notice.

23. Beta Features

Some AI capabilities may be designated as Beta. Beta features:

are experimental,
may change without notice,
may produce inaccurate results,
are provided without warranty.

24. Force Majeure

Neither party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, war, civil unrest, government action, pandemics, internet outages, cyberattacks, or utility failures.

25. Governing Law

These Terms shall be governed by the laws of the People's Republic of Bangladesh unless otherwise specified in the Customer Agreement.

26. Changes to Terms

The Company may revise these Terms periodically. Continued use after publication constitutes acceptance of the updated Terms.
